Terms of Use

1. Who we are

VERMUS is a music education platform presenting the improvisation method "Como Eu Penso" ("How I Think") by Thiago Espirito Santo, operated under the Espírito Santo Music brand by ESPIRITO SANTO MUSIC PRODUÇÃO E COMÉRCIO LTDA-ME, registered with Brazilian tax ID (CNPJ) 33.179.602/0001-07 ("we", "the platform" or "VERMUS").

By creating an account or subscribing to any plan, you declare that you have read, understood and agree to these Terms of Use and to the Privacy Policy.

2. What the platform offers

The platform, available at vermus.com.br, shows, for each chord of a song, the scales, triads and arpeggios that apply under Thiago Espirito Santo's "Como Eu Penso" method, including the reading chosen by its creator and the remaining harmonic possibilities. It offers a library of songs already analysed, which is expanded periodically; it lets you upload chord charts by photo or file for analysis, and hear and see the result. VERMUS is an educational tool: it does not guarantee any artistic result, exam result, performance or specific objective, all of which depend on each user's study and practice.

3. Who may use it

The platform is open to students of any age — music is studied at every stage of life. However, because this is a paid contract with automatic renewal, the subscription must be taken out by a person over 18. Users under 18 may use the platform provided the subscription is contracted and the payments authorised by a parent or legal guardian, who also consents to the processing of the minor's data.

4. Registration and account

To use the platform you create an account and provide true, complete and up-to-date information: name, e-mail, CPF (Brazilian tax ID), telephone and instrument. You are responsible for keeping your password confidential and for all activity carried out under your account. The account is personal and non-transferable.

5. Plans, payment and renewal

The platform is offered by subscription, under the plans and prices shown on the plans page at the time of purchase. Currently:

• Monthly — billed month by month; • Founder — an annual plan at a promotional price, available for a limited time, with a locked-price guarantee (see clause 6); • Annual — a 12-month plan. Card payment. Card payments are processed by Mercado Pago and renew automatically: at the end of each cycle (monthly or annual, depending on the plan), the registered payment method (credit card, debit card or Mercado Pago balance) is charged automatically at the plan's current price until you cancel. You authorise this recurring charge when you subscribe. Any price adjustments will be communicated in advance.

Payment by Pix. The Founder plan may also be contracted by Pix, as a single payment covering 12 (twelve) months of access, at its own price shown on the plans page, different from the card price. Pix payment is arranged through direct contact and has no automatic renewal: access is granted once receipt is confirmed — normally within 2 (two) hours during business hours — and lasts 12 months from the payment date. We will contact you before expiry so that you can renew if you wish.

6. Founder plan price guarantee ("locked price")

The Founder plan gives the subscriber a lifetime price guarantee: the annual amount contracted as a Founder stays the same at every renewal, with no increase, for as long as the subscription is kept active and uninterrupted. This guarantee is an obligation of the company towards the Founder subscriber, not a mere promotional statement. Each payment method has its own locked amount: whoever subscribes by card keeps the card price; whoever subscribes by Pix keeps the Pix price.

The guarantee ceases to apply if the subscription is cancelled by the subscriber or interrupted for non-payment. In that case, a new subscription will be subject to the plans and prices in force on the date of the new purchase, which may no longer include the Founder condition.

Renewal under Pix. Because a Pix payment does not renew by itself, a Founder subscriber who pays by Pix keeps the price guarantee provided the renewal is made within 30 (thirty) calendar days of the expiry date. We will give reasonable advance notice of expiry through the contact channels you provided. If renewed within that period, access is considered uninterrupted for all purposes of this clause, and the new 12-month period runs from the previous expiry date. After 30 days without renewal, the preceding paragraph applies.

7. Cancellation and right of withdrawal

By card, you may cancel renewal at any time, through your account or by contacting us. Cancellation stops future charges; access remains until the end of the period already paid for.

By Pix, there is no recurring charge to cancel: access simply runs to the end of the 12 months paid for and is not renewed without a new payment from you.

Right of withdrawal (article 49 of the Brazilian Consumer Protection Code): as this is an online purchase, you may withdraw within 7 (seven) calendar days from confirmation of the subscription, with a full refund of the amount paid for the period. The right applies equally to card and Pix payments; under Pix, the refund is made to the same person who made the payment.

8. Refunds

Outside the withdrawal period, amounts already paid for periods under way are not refunded, except where the law requires it or where a failure of the platform is proven. Specific cases may be assessed through our contact channel.

9. Rules of use

You agree not to: share your account or credentials; copy, resell, redistribute, record or reproduce the platform's content, method or analyses beyond personal use; attempt to access third-party areas or data; use bots, scraping or reverse engineering; or use the platform for any unlawful purpose. Breach may lead to suspension or termination of the account, without refund.

10. Content you submit (chord charts)

When you upload a chord chart (typed or photographed), you declare that you have the right to use it and you are solely responsible for respecting the copyright in the material submitted.

Content you upload is private to your account by default and is used only to generate your analysis. You may, if you wish, choose to share it in the Users' Library, where it becomes visible to other subscribers, identified with your name. Sharing is always your own act, never automatic, and you may take the content down at any time.

By sharing, you again declare that you have the right to do so and you are answerable for the content you made available. Chord charts in the Users' Library have not been reviewed by Thiago Espirito Santo and are not to be confused with the VERMUS Library. We may remove, at any time and without prior notice, content that breaches these Terms, third- party rights or the law.

You grant us a limited licence, solely to store and process that content, provide the service to you and, where you choose to share, display it to other subscribers.

11. Intellectual property

The "Como Eu Penso" method, the VERMUS and PHD — Harmonic Possibilities Broken Down marks, the vermus.com.br domain, the texts, the analyses, the layout, the code and all content of the platform belong to ESPIRITO SANTO MUSIC PRODUÇÃO E COMÉRCIO LTDA-ME or its licensors, and are protected by law. A subscription grants you a right of personal, non-transferable access, not an assignment of rights. Reproducing, distributing or creating derivative works without authorisation is prohibited.

12. Availability and limitation of liability

We make efforts to keep the platform available and correct, but it is provided "as is". The catalogue of analysed songs, the reading modes and the platform's features may be expanded, changed or replaced over time without this constituting a breach of contract, provided the essential purpose of the service is maintained. We do not guarantee uninterrupted operation and may carry out maintenance and improvements. To the maximum extent permitted by law, we are not liable for indirect damages or for learning outcomes, which depend on each person's use.

13. Changes to these Terms

We may update these Terms. Material changes will be communicated by e-mail or on the platform. Continued use after the update means agreement with the new version. The Founder plan price guarantee (clause 6) will not be reduced by a unilateral change to these Terms for anyone who is already an active Founder subscriber.

14. Governing law and jurisdiction

These Terms are governed by Brazilian law. The courts of the consumer's domicile are elected to settle any disputes.

15. Language

These Terms were drafted in Portuguese. This English version is provided for convenience; in case of divergence, the Portuguese version prevails.
